AIHubMix Auto Recharge Agreement

This Auto Recharge Agreement (the “Agreement”) governs your enrollment in and use of the Auto Recharge feature offered by AIHubMix. The AIHubMix entity that provides the Services to you, as identified in the AIHubMix Terms of Use, is referred to in this Agreement as “AIHubMix,” “we,” “us,” or “our.”
By enabling Auto Recharge, you acknowledge that you have read and understood this Agreement and expressly authorize AIHubMix and its payment processors to automatically charge your selected payment method in accordance with the terms below.
1. Relationship to Other AIHubMix Terms
This Agreement supplements and forms part of the AIHubMix Terms of Use and any other policies or terms applicable to your use of the AIHubMix Services, including the Privacy Policy and any applicable payment or refund terms (collectively, the “AIHubMix Terms”). Capitalized terms not defined in this Agreement have the meanings given to them in the applicable AIHubMix Terms. If there is a conflict between this Agreement and the AIHubMix Terms with respect specifically to Auto Recharge, this Agreement will control to the extent of that conflict. For all other matters, the AIHubMix Terms will continue to apply.
2. Auto Recharge
Auto Recharge is an optional feature that allows you to automatically purchase additional account credits when your available account credit balance falls below a threshold selected by you. When enabling Auto Recharge, you may be asked to specify:
- the account balance threshold that will trigger an automatic recharge (the “Recharge Threshold”);
- the amount of credits to be purchased each time Auto Recharge is triggered (the “Recharge Amount”);
- the payment method to be used for Auto Recharge (the “Payment Method”).
The Recharge Threshold, Recharge Amount, and other applicable Auto Recharge settings will be displayed in your account or at the time you enable or modify Auto Recharge. Auto Recharge is based on account usage and is not a fixed-period subscription. Depending on your usage, Auto Recharge may occur at irregular intervals and may occur more than once within a particular day, week, or month.
3. Authorization to Charge Your Payment Method
By enabling Auto Recharge, you expressly authorize AIHubMix and its third-party payment processors to store or otherwise maintain the Payment Method you designate, as permitted by applicable law and payment network rules, and to initiate charges to that Payment Method whenever the conditions for Auto Recharge described in this Agreement and your account settings are satisfied. You authorize such charges to be processed without requiring you to separately approve or authenticate each individual transaction, except where additional authentication or authorization is required by applicable law, your financial institution, a payment network, or a payment processor. You acknowledge and agree that Auto Recharge transactions may be processed as merchant-initiated transactions, off-session transactions, recurring transactions, or other similar payment transactions, as applicable under the rules of the relevant payment method or payment network. This authorization will remain in effect until you disable Auto Recharge, terminate your account, or otherwise revoke the authorization in accordance with this Agreement.
4. Recharge Trigger and Charge Amount
When your available account credit balance falls below the Recharge Threshold you selected, AIHubMix may automatically charge your Payment Method for the Recharge Amount you selected. The amount of each Auto Recharge transaction will be determined by your then-current Auto Recharge settings, together with any applicable taxes, payment processing charges, or other fees that are disclosed to you or otherwise payable under the AIHubMix Terms. Because Auto Recharge is triggered by your account balance rather than by a fixed billing schedule, the timing and frequency of Auto Recharge transactions will depend primarily on your use of the Services. If continued usage causes your account balance to fall below the Recharge Threshold again after an Auto Recharge has been completed, another Auto Recharge may be initiated. Accordingly, multiple Auto Recharge transactions may occur within a relatively short period if your account usage is high. Any transaction limits, recharge limits, account limits, or other restrictions displayed in the Services at the time of a transaction will also apply.
5. Payment Method
You must provide and maintain a valid Payment Method that you are authorized to use. By enabling Auto Recharge, you represent and warrant that:
- You are the holder of the Payment Method or are otherwise legally authorized to use it;
- The payment information you provide is accurate and complete;
- You authorize AIHubMix and its payment processors to use the Payment Method for Auto Recharge transactions as described in this Agreement.
Payment information may be collected, stored, tokenized, and processed by third-party payment processors in accordance with their applicable terms and privacy practices. AIHubMix may receive and use updated Payment Method information made available by your payment provider, financial institution, payment network, or payment processor where permitted by applicable law and payment network rules. You remain responsible for keeping your Payment Method and billing information current.
6. Failed or Declined Payments
An Auto Recharge transaction may fail or be declined for reasons including insufficient funds, an expired or invalid Payment Method, payment network restrictions, authentication requirements, fraud prevention measures, or a decision by your financial institution or payment provider. If an Auto Recharge transaction fails, AIHubMix or its payment processor may retry the transaction where permitted by applicable law and payment network rules. AIHubMix does not guarantee that a failed payment will be retried or successfully processed. If an Auto Recharge transaction cannot be completed and your account does not have sufficient available credits, your access to some or all paid Services may be limited, suspended, or interrupted in accordance with the AIHubMix Terms.
7. Application for Recharged Credits
Once an Auto Recharge payment is successfully processed, the corresponding purchased credits will be added to your AIHubMix account in accordance with the applicable credit, billing, and payment terms. From time to time, AIHubMix may also provide promotional, bonus, complimentary, reward, or other credits for which no separate payment is made by you (collectively, “Promotional Credits”). Purchased credits and Promotional Credits may be subject to different terms. In particular, Promotional Credits have no cash value, are not redeemable for cash, and are not eligible for refunds, except where otherwise required by applicable law. Purchased credits funded through an Auto Recharge transaction may be eligible for a refund in accordance with Section 9 of this Agreement and the applicable AIHubMix refund terms. Enabling Auto Recharge does not guarantee uninterrupted access to the Services. Processing delays, payment failures, technical issues, usage spikes, or other circumstances may result in temporary insufficient balances or service interruptions.
8. Modifying or Disabling Auto Recharge
You may modify your Auto Recharge settings or disable Auto Recharge at any time through the applicable billing or account settings made available by AIHubMix. Changes generally apply prospectively. Disabling Auto Recharge revokes your authorization for future Auto Recharge transactions. However, it will not cancel, reverse, or affect a transaction that was validly initiated before your cancellation or modification took effect. You remain responsible for all authorized Auto Recharge transactions initiated before your authorization was revoked.
9. Refunds
Credits purchased through Auto Recharge may be eligible for a refund in accordance with the AIHubMix Terms of Use and any other applicable payment terms made available to you. Refund eligibility may depend on factors including whether the purchased credits have been used, the amount of unused purchased credits remaining in your account, the timing of the refund request, applicable payment processing costs, and any other conditions set forth in the applicable AIHubMix refund terms. For the avoidance of doubt, only credits for which you have actually paid are eligible to be considered for a refund. Promotional Credits, including bonus, complimentary, reward, promotional, or otherwise free credits provided by AIHubMix, are non-refundable and have no cash or redemption value. Where your account contains both purchased credits and Promotional Credits, any refund will be calculated solely by reference to the portion of eligible purchased credits, in accordance with the applicable AIHubMix refund policy. Disabling Auto Recharge does not automatically cancel or refund a previously completed Auto Recharge transaction. You must separately request any refund for which you may be eligible in accordance with the applicable refund process. Nothing in this Agreement limits any refund, cancellation, or other rights that cannot lawfully be waived under applicable law.
10. Unauthorized Transactions and Payment Disputes
If you believe an Auto Recharge transaction was processed without authorization or in error, you should contact AIHubMix promptly using the contact information provided below. You should not initiate a chargeback or payment dispute for a transaction that you authorized under this Agreement solely because you no longer wish to use the credits or because you forgot to disable Auto Recharge. Nothing in this Section limits your right to dispute genuinely unauthorized or erroneous charges or any other rights available to you under applicable law or applicable payment network rules. AIHubMix reserves the right to suspend or restrict an account while a payment dispute, chargeback, suspected fraud, or payment reversal is being investigated, to the extent permitted by applicable law and the AIHubMix Terms.
11. Your Responsibility for Account Usage
You are responsible for activity conducted through your AIHubMix account and API credentials in accordance with the AIHubMix Terms. Because Auto Recharge is triggered by account credit usage, unauthorized or unintended use of your account or API credentials may result in Auto Recharge transactions. You should promptly disable or rotate compromised API credentials and contact AIHubMix if you believe your account or credentials have been accessed or used without authorization.
12. Changes to Auto Recharge
AIHubMix may modify, suspend, or discontinue the Auto Recharge feature from time to time. If we make a material change to this Agreement that materially affects the manner in which Auto Recharge charges are authorized, triggered, or calculated, we will provide notice as required by applicable law. Where required by applicable law or payment network rules, we may require you to provide a new authorization before continuing to process Auto Recharge transactions. Your continued use of Auto Recharge after an applicable change takes effect constitutes acceptance of the revised Agreement to the extent permitted by applicable law.
13. Term and Termination
This Agreement becomes effective when you enable Auto Recharge and remains in effect for as long as Auto Recharge remains enabled on your account. The authorization granted under this Agreement terminates prospectively when:
- you disable Auto Recharge;
- AIHubMix disables or terminates Auto Recharge for your account;
- your AIHubMix account is terminated; or
- the authorization is otherwise terminated as required by applicable law.
Termination of this Agreement does not affect any rights or obligations arising from transactions initiated before termination.
14. Electronic Consent and Records
By enabling Auto Recharge through the AIHubMix website, dashboard, application, or other electronic interface, you consent to entering into this Agreement electronically. Your electronic action enabling Auto Recharge, together with the applicable Auto Recharge settings and associated account and transaction records, may be retained as evidence of your authorization to the extent permitted by applicable law. You agree that electronic records of your acceptance may have the same legal effect as a handwritten signature to the extent permitted by applicable law.
15. Governing Law and Dispute Resolution
The governing law, jurisdiction, dispute resolution procedures, limitations of liability, disclaimers, and other general legal provisions contained in the AIHubMix Terms of Use apply to this Agreement as though fully set forth herein.
